OceanX Trade Inc., doing business as OceanX ("OceanX," "we," "us," or "our"), operates the website at https://oceanx.trade (the "Platform") as an interface to decentralized trading protocols, wallet services, smart contracts, APIs, software, documents, and infrastructure (collectively, the "Services").
OceanX Trade Inc. is not a financial institution or broker. The Platform is a self-directed interface that allows you to interact with public blockchain networks and smart contracts. OceanX does not control or guarantee those networks or contracts. The wallet signing and custody model depends on the wallet and feature you select, as described below and in the product interface.
These Terms of Use ("Terms") govern your access to and interaction with the Platform and Services. By accessing or using them, you acknowledge that you are at least 18 years old, legally capable of forming binding contracts, and accept all the terms below.
1. Acceptance & Applicability
Your use of OceanX is conditional on your acceptance of these Terms, including our Privacy Policy, which is incorporated herein by reference.
If you do not agree to these Terms, please refrain from using the Platform or Services.
2. Eligibility & Restricted Jurisdictions
You must be of legal age and not subject to sanctions or prohibited by applicable law or regulation from using the Services.
Access to the Platform interface may be restricted from jurisdictions where its use is unlawful or prohibited, including but not limited to certain high-risk or sanctioned regions. Attempts to circumvent these restrictions (e.g., via VPNs) are prohibited.
You are solely responsible for ensuring that your use of the Services complies with the laws and regulations applicable to you. Because the underlying protocol consists of autonomous smart contracts deployed on public blockchains, no party can prevent direct interaction with those contracts; these Terms apply to your use of the Platform interface.
3. Accounts & Access
Certain features of the Platform may require you to connect a wallet or create local credentials ("Account"). Any information you provide must be accurate and up to date.
Maintain the confidentiality of your credentials and wallet access. You are accountable for all activity conducted through your Account or connected wallet.
Access to the Platform interface may be suspended or restricted in the event of a breach of these Terms or suspicious activity.
4. Digital Assets & Private Keys
OceanX supports more than one wallet model. Existing embedded wallets provided by Privy (Privy, Inc.) use Privy's wallet infrastructure and are also subject to Privy's terms of service and privacy policy. Miyao wallets, when released, will launch with server-operated threshold custody: two separately operated signing domains must act together under the applicable authorization controls.
A Miyao launch wallet must not be described as non-custodial merely because its key is split between servers. A future device-share option will be described as non-custodial only after the device share is cryptographically required for signing and the previous server-only signing quorum has been permanently retired.
Access to your wallet is controlled by your login credentials (e.g., email, social login, or connected wallet) and any recovery methods you configure. You are solely responsible for safeguarding these credentials and recovery methods. Anyone who gains access to them may be able to access your assets.
Private-key export and recovery capabilities vary by wallet model and release. Where an export is offered, you are responsible for securing the exported material.
OceanX may suspend the Platform interface, revoke service access, or pause an operation where the applicable controls permit it. Those actions do not reverse a transaction already confirmed on a public blockchain. To the maximum extent permitted by law, no liability is accepted for loss arising from compromised credentials, lost recovery methods, mismanagement of exported keys, or the acts or omissions of third-party wallet infrastructure providers.
5. Feedback & Content
Any feedback you provide grants OceanX and its contributors a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, adapt, and commercialize it.
"User Content" (e.g., posts or uploads) remains yours, but OceanX may use and display it under a similar license unless otherwise agreed. Removal requests may not fully delete copies stored by third parties or recorded on public blockchains.
6. Compliance & Legal Obligations
You are solely responsible for complying with all laws applicable to you, including tax, securities, and anti-money-laundering obligations in your jurisdiction.
The Platform interface reserves the right to implement screening measures (e.g., wallet screening against sanctions lists) and to restrict access where required by applicable law.
7. Dispute Resolution
To the maximum extent allowed by applicable law, any dispute arising out of or relating to these Terms or your use of the Services will be resolved through individual binding arbitration, not class actions or jury trials.
You waive any right to participate in a class action or representative proceeding against OceanX or its contributors.
8. Modifications to Terms & Services
These Terms and the features of the Platform may change or be discontinued at any time. Material changes will be posted on the Platform and may be communicated via in-app alerts.
Continued use after updates constitutes acceptance. If you disagree with changes, please stop using the Platform.
9. Third-Party Services & Protocols
The Platform may integrate or route through third-party tools, protocols, or services (e.g., blockchain networks, data providers, liquidity venues, analytics). Their use is governed by those parties' terms and policies.
No responsibility is accepted for the operation, availability, or security of any third-party service or underlying blockchain network.
10. No Warranties & Limitation of Liability
The Platform and Services are provided "as is" and "as available," without warranties of any kind, express or implied.
Use the Platform at your own risk. To the maximum extent permitted by law, OceanX, its contributors, developers, and affiliates are not liable for any direct or indirect losses resulting from access issues, bugs, smart contract vulnerabilities, downtime, market volatility, technical failures, user errors, blockchain network failures, or third-party actions.
Nothing in the Services constitutes financial, investment, legal, or tax advice.
11. Assumption of Risk
You acknowledge that digital assets and decentralized protocols involve significant risk, including total loss of funds, extreme volatility, smart contract exploits, and regulatory uncertainty.
All transactions executed through the protocol are irreversible. You alone are responsible for evaluating and bearing these risks.
